These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Export Arena Inc. ("Export Arena," "we," "us," or "our") regarding your use of our AI-powered trade automation platform.

• Your continued use after changes constitutes acceptance of new Terms
2. Service Description

Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.
3. Account Registration & Responsibilities
Account Requirements

- • You must have authority to bind your organization to these Terms
- • You must provide accurate, current, and complete information
- • You must maintain and update your account information

- • Plan changes take effect at the next billing cycle

Payment Terms

- • Late payments subject to 1.5% monthly interest
- • Auto-renewal unless cancelled
- • Failed payments may suspend service
- • All fees are non-refundable unless stated

- • Disputes must be raised within 30 days
Free Trials & Cancellation
- • 14-day free trials available for new customers
- • Cancel anytime during trial period
- • Paid subscriptions can be cancelled with 30 days notice
- • Account access continues until end of billing period

6. Intellectual Property

- • You retain ownership of your original data and documents

7. Warranties & Liability
Service Warranties

- • We do not guarantee accuracy of AI-generated results
- • You are responsible for validating all outputs
- • We disclaim warranties of merchantability and fitness for purpose
Limitation of Liability
IMPORTANT LIABILITY LIMITATIONS:
- • Our total liability is limited to amounts paid by you in the prior 12 months
- • We are not liable for indirect, consequential, or punitive damages
- • We are not responsible for customs penalties, trade losses, or regulatory violations
- • You indemnify us against claims arising from your use of our services
8. Termination
By You
- • Cancel subscription anytime with 30 days notice
- • Export your data before termination
- • Pay all outstanding fees
- • Access ends at current billing period
By Export Arena
- • Immediately for material breach
- • With 30 days notice for convenience
- • For non-payment after 30 days
- • For violation of these Terms
Data Retention: After termination, we will retain your data for 30 days to allow for potential reactivation, then permanently delete it unless legally required to retain.
9. Governing Law & Disputes
Jurisdiction
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Dispute Resolution
- Negotiation: Parties will attempt good faith negotiations for 30 days
- Mediation: If negotiation fails, binding mediation in New York, NY
- Arbitration: Final disputes resolved through binding arbitration
- Exceptions: Either party may seek injunctive relief in court
Class Action Waiver
You agree to resolve disputes individually and waive rights to participate in class actions or representative proceedings.
10. General Provisions
Entire Agreement
These Terms, along with our Privacy Policy and any order forms, constitute the entire agreement.
Severability
If any provision is unenforceable, the remainder remains in full force.
Force Majeure
Neither party is liable for delays due to circumstances beyond reasonable control.
Assignment
You may not assign these Terms without our written consent.
